Client Engagement Agreement (MSA)

1. Scope of Work
Cnsult.in will deliver the services described in the mutually agreed Statement of Work (SOW), including:

ICT & cloud solutions

Data governance
-
Procurement consulting
-
Digital marketing
-
Airbnb management
-
Construction support
-
Education consulting

Writing & translation
2. Payment Terms

Invoices are due within 14–30 days depending on contract terms

Late payments may incur interest

Additional work outside the agreed SOW requires a formal change request
3. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information exchanged during engagement.
4. Intellectual Property

Cnsult.in retains ownership of pre-existing IP, templates, and methodologies

Client owns final deliverables upon full payment

Custom code and integrations may be licensed, not sold
5. Warranties
Cnsult.in warrants that services will be performed:

Professionally
-
Competently
-
In accordance with industry standards
6. Liability Limitation
Neither party is liable for:

Indirect or consequential damages

Lost profits
-
Force majeure events
Total liability is capped at the total fees paid under the relevant SOW.
7. Term & Termination
Either party may terminate with:

30 days written notice, or
-
Immediately for breach, misconduct, or nonpayment
Upon termination, all outstanding invoices become payable.
8. Dispute Resolution
Disputes will be resolved through:

Negotiation

Mediation
-
If unresolved, arbitration or litigation per governing law
9. Governing Law
